Terms of Service

By accessing or using Toporio (the "Platform", "Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User", "you") and Toporio ("we", "us", "our"). We reserve the right to update these Terms at any time. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We will display the date of the most recent revision at the top of this page.

By creating an account you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy and Disclaimer.

Toporio is an entertainment trading platform where users trade digital celebrity tokens using USDC (a stablecoin on the Solana blockchain). Token prices are derived from publicly available real public data and user trading activity.

By using the Platform you acknowledge and agree that:

• Toporio is an entertainment platform. Trading involves real USDC and real financial risk.
• You may lose some or all of your deposited USDC.
• Leveraged positions amplify risk — you may lose your entire margin.
• Token prices are volatile and may change rapidly.
• The Platform charges a 1% fee on spot trades (up to 2% during extreme market volatility) and 0.1% on leverage trades.
• Past performance does not guarantee future results.
• Celebrity tokens do not represent any ownership, equity, or claim on the featured person.

Toporio uses USDC (a stablecoin pegged to USD on the Solana blockchain) as its base trading currency. Users deposit USDC to trade celebrity tokens. Token prices are determined by an internal pricing algorithm based on social media metrics and trading demand.

We reserve the right to adjust, reset, or remove digital tokens at any time without notice, including upon account termination. You acquire no property rights or ownership interest in digital tokens by using the Platform.

Referral Program

Toporio operates a referral program under the following terms. By sharing your referral link or using someone else's, you agree to these rules:

• Referrer reward: 30% of every trading fee paid by a user you referred, for the life of their account, paid in USDC to your in-app balance.
• Referee discount: 5% off every trading fee, for the life of the referee's account.
• Activation threshold: the referrer earns nothing until the referee has traded at least $100 USDC in cumulative volume. This is an anti-fraud safeguard.
• Payout lock: referral earnings are held in a locked state for 7 days before becoming withdrawable. During the lock window the Platform may reverse earnings determined to originate from fraudulent activity (sybil accounts, self-referring, wash trading between related wallets, bot farms).
• First-click-wins attribution: once a user signs up using a referral link, the relationship is permanent and cannot be changed.
• Prohibited activity: self-referring via secondary accounts, creating wallets solely to farm the program, misrepresenting Toporio when sharing links, or spam are all prohibited and will result in earnings reversal and account termination.
• Tax responsibility: referral earnings may be taxable in your jurisdiction. You are solely responsible for reporting and paying any applicable taxes. Toporio does not issue tax forms.
• Program changes: the Platform may adjust referral percentages, thresholds, or eligibility rules at any time. Changes will not affect earnings already credited to your account.

Toporio Plus Subscription

Toporio Plus is an optional paid subscription that unlocks premium features on the Platform. By subscribing, you agree to the following:

• Price: $4.99 USDC per month, debited from your in-app USDC balance on the first day of each billing period.
• Auto-renewal: the subscription automatically renews every month for the same price unless you cancel.
• Billing period: 30 calendar days from the date of first charge. Renewal occurs at the end of each period.
• Grace period: if your USDC balance is insufficient at renewal, you receive a 3-day grace period during which Plus features remain active. After grace expires without a top-up, your account automatically downgrades to the free tier.
• Cancellation: you may cancel at any time via your account settings or the /plus page with one click. Upon cancellation, Plus features remain active for the remainder of the billing period you have already paid for. At the end of that period, your account downgrades to free.
• No partial refunds: there are no refunds for partial months or unused time. Cancelling does not refund the current billing period.
• Express consent: by completing the subscription signup process (which requires three explicit confirmation checkboxes), you expressly consent to the immediate performance of the digital service and waive your right of withdrawal under EU Directive 2011/83/EU (Article 16(m)) and equivalent consumer protection law in other jurisdictions.
• Feature set: the features included with Plus may change over time. New features announced as "coming soon" will be added to active Plus subscriptions at no additional cost when they ship.
• Price changes: we reserve the right to change the subscription price. Existing subscribers will be notified at least 30 days in advance, and price changes only affect subsequent billing periods.
• Consent audit trail: your explicit consent (IP address, timestamp, terms version, three confirmation checkboxes) is stored immutably for compliance purposes.

You also represent that you are not prohibited from receiving services under the laws of your jurisdiction, that you are accessing the Platform for personal, non-commercial use, and that all registration information you submit is truthful and accurate.

We reserve the right to request proof of age at any time and to suspend or terminate accounts where we reasonably suspect the user is under 18.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete registration information.
• Keep your password secure and not share it with any third party.
• Notify us immediately at support@toporio.com if you suspect any unauthorized access to your account.
• Not create more than one account per person.
• Not use another user's account without their explicit permission.
• Ensure that your use of the Platform complies with all applicable laws in your jurisdiction.

We will not be liable for any loss or damage arising from your failure to comply with these obligations.

You may use the Platform for lawful, personal, and entertainment purposes only. You agree not to:

• Use bots, scripts, or automated tools to interact with the Platform.
• Attempt to manipulate platform data, leaderboards, or token prices through artificial means.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Upload or transmit viruses, malware, or any other harmful code.
• Conduct any activity that impairs or disrupts the Platform's servers or infrastructure.
• Harass, threaten, or harm other users.
• Collect or harvest personal data about other users without their consent.
• Use the Platform to promote commercial services without our express written consent.
• Attempt to circumvent any security or access-control mechanism on the Platform.
• Misrepresent your identity or affiliation with any person or entity.

We reserve the right to investigate suspected violations and take appropriate action, including removing content and terminating accounts.

We reserve the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any reason we deem appropriate, including but not limited to:

• Breach of these Terms of Service.
• Suspected fraudulent, abusive, or harmful behaviour.
• Violations of applicable laws or regulations.
• Extended periods of account inactivity (12 months or more).
• At our sole discretion in order to maintain the integrity of the Platform.

Upon termination, your right to use the Platform will immediately cease. All digital tokens and platform data associated with your account will be permanently deleted. Any remaining USDC balance must be withdrawn before account deletion. No compensation of any kind will be owed upon termination.

You may close your account at any time by contacting us at support@toporio.com. Requests for data deletion will be processed in accordance with our Privacy Policy.

All content, features, and functionality of the Platform — including but not limited to the Toporio name and logo, software, design, graphics, text, and platform mechanics — are owned by or licensed to us and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal entertainment purposes only. You may not:

• Reproduce, distribute, or create derivative works based on Platform content without our prior written consent.
• Use the Toporio name, logo, or branding in any manner that implies endorsement or affiliation.
• Remove or alter any copyright, trademark, or proprietary notices on the Platform.

The Platform may reference real persons, public figures, or social media content. All such references are for entertainment and trading purposes only. Toporio is not affiliated with, endorsed by, or connected to any person featured on the Platform.

Trading on Toporio involves real USDC and real financial risk. You acknowledge that you have suffered no quantifiable financial loss by using the Platform, and that any claim for damages is accordingly limited.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, our liability shall be limited to the fullest extent permitted by law.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure.
• Platform data, prices, or leaderboard standings will be free from inaccuracies.
• Defects will be corrected.
• The Platform or its servers are free from viruses or other harmful components.

Nothing on the Platform constitutes financial advice, a recommendation to act, or a guarantee of any platform outcome.

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. This includes changing platform mechanics, adjusting token balances, updating leaderboards, and altering how prices are calculated.

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation.
